Terms of Use

Please read these Terms carefully before using DuctIQ. By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not create an account or use the Service.
1. AI-Assisted Software
DuctIQ is an AI-assisted HVAC mechanical takeoff tool that processes uploaded PDF drawings to generate ductwork, equipment, and fitting quantities. The Service uses machine learning models to interpret drawing geometry and produce quantity estimates.
AI-generated outputs are probabilistic estimates, not engineering determinations. The Service is intended to support — not replace — the professional judgment of qualified mechanical contractors, estimators, and engineers. No output from DuctIQ should be treated as a substitute for a manual review by a qualified professional.
2. User Responsibility
You are solely responsible for:
- Reviewing all AI-generated takeoff results against the original drawings before use;
- Verifying quantities, dimensions, and item counts prior to submitting a bid, placing a procurement order, or commencing construction;
- Ensuring that the drawings you upload are the correct revision and are complete;
- Complying with all applicable professional standards, codes, and regulations in your jurisdiction;
- Any decisions made in reliance on outputs produced by the Service.
DuctIQ does not assume any professional engineering, estimating, or contracting responsibility on your behalf.
3. No Guarantee of Accuracy
Takeoff results are generated automatically and may contain errors, omissions, misinterpretations, or missed items. DuctIQ makes no warranty, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any output generated by the Service.
Accuracy varies based on drawing quality, PDF type (vector vs. raster), drawing scale, annotation style, and other factors outside DuctIQ's control. Published accuracy metrics are historical averages on specific drawing types and do not guarantee equivalent results on your drawings.
You must independently verify all outputs before relying on them for any commercial, construction, or professional purpose.
4. Limitation of Liability
To the maximum extent permitted by applicable law, DuctIQ and its operators, directors, employees, and agents shall not be liable for:
- Inaccurate or incomplete takeoff quantities;
- Missed items, incorrect dimensions, or misidentified duct types;
- Bid errors, procurement losses, or construction cost overruns arising from reliance on Service outputs;
- Any direct, indirect, incidental, special, consequential, or punitive damages of any kind.
In no event shall DuctIQ's aggregate liability to you exceed the total subscription fees paid by you in the three (3) months immediately preceding the claim giving rise to liability.
5. Professional Verification Required
All takeoff outputs produced by DuctIQ must be independently reviewed and verified by a qualified mechanical contractor, estimator, or engineer before being used for bid submission, material procurement, shop drawing preparation, or construction. DuctIQ is a productivity tool — professional judgment remains your responsibility at all times.
By using the Service, you represent that you have the qualifications and expertise necessary to evaluate AI-generated takeoff outputs and identify errors or omissions.
6. Uploaded Files & Data
You retain all ownership rights to drawings and files you upload. By uploading, you grant DuctIQ a limited, non-exclusive, non-transferable licence to process your files solely for the purpose of providing the Service to you.
We will not use your uploaded drawings or project data for AI model training, product improvement, or any purpose other than delivering the Service, without your explicit written consent.
You represent and warrant that you have the right to upload and process the drawings you submit through the Service, and that doing so does not violate any third-party intellectual property rights or confidentiality obligations.
7. Service Availability & Subscriptions
DuctIQ is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation of the Service. Scheduled maintenance, infrastructure issues, or third-party AI provider outages may temporarily affect availability.
Subscriptions are billed monthly. You may cancel at any time from your account dashboard; cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period. DuctIQ reserves the right to change pricing with 30 days' notice to existing subscribers.
DuctIQ reserves the right to suspend or terminate accounts that violate these Terms, engage in abuse of the Service, or fail to maintain valid payment.
8. Acceptance of Terms
By creating an account, you confirm that:
- You have read and understood these Terms of Use;
- You agree that all AI-generated outputs must be independently verified before use;
- You are at least 18 years of age and have the authority to enter into this agreement on behalf of yourself or your organization;
- You will not hold DuctIQ liable for losses arising from reliance on unverified takeoff outputs.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Toronto, Ontario. We may update these Terms from time to time; continued use of the Service after changes constitutes acceptance of the updated Terms.
